Billing Terms and Terms of Use

This is an Automatic Recurring Billing Agreement between Conformance Portal, LLC ("Conformance Portal") and the organization using Conformance Portal ("Your Organization") including the person acting as the owner ("You") for Your Organization and/or the person acting as the billing contact ("Billing Contact") for Your Organization.

Please read this agreement carefully and in full before agreeing to create an account for Your Organization and authorize recurring payments. Please verify that all information provided is complete and accurate before confirming Your agreement.

By entering into this agreement, you also agree to the Billing Terms in their entirety.

Software as a Service (SaaS)

This software license agreement reflects the arrangement as cloud computing or SaaS whereby information such as Your Organization's work instructions and procedures used in your quality and manufacturing processes are entered into Conformance Portal software by your staff for your employee training, testing and communication.

The software is accessed by Your Organization via a User ID and Password.

Conformance Portal is the owner of the software/system and is responsible for all hosting, security, management, updates and maintenance costs of the systems and software.

Frequency of Payments

The first day of the Period begins upon creation of the account and will include any applicable one-time fees as well as pre-payment of the first Period's service.

All plans are billed monthly ("Period") for the upcoming Period's service.

You will not receive any advance notice of a payment but You and the Billing Contact will receive post-payment confirmation by email.

Payment Methods

Conformance Portal supports recurring payment via Credit/Debit Card.

Credit/Debit card payments are processed automatically as described in the "Frequency of Payments" section.

By entering or changing your payment method's information on Your Organization's Billing page, you are authorizing Conformance Portal to process payment each Period as outlined elsewhere in this document.

Automatic Recurring Payment Failure

If Your automatic recurring payment is declined or fails for any reason Your Organization's account will be deactivated so that no further access can occur from within Conformance Portal. You may log in at any time prior to your account being deactivated to correct or change the payment information. Upon correcting the payment information, the previously failed payment amount will be re-attempted, but future Periodic billing dates will not change from their originally scheduled cycle.

Cancellation of Account and Automatic Recurring Payment

You have the right to withdraw Your consent to this Automatic Recurring Payment at any time. Doing so will deactivate Your Organization's account from all use. You will be logged out and all other user accounts will be prevented from logging in.

Refunds

Cancellation notices will be processed immediately but no charges will be refunded and any overages or other charges incurred up to the point of cancellation will be charged to the currently selected payment method at that time. No refunds will be issued in the case of a credit for the Current Period.

Re-establishing Account and Automatic Recurring Payment

You may reopen Your account at any time by contacting Conformance Portal customer service at This email address is being protected from spambots. You need JavaScript enabled to view it.. At this point, Your Organization's account will be reactivated and a new billing cycle will be established. You will be billed any applicable one-time fees as well as the first Period's pre-payment for that Period. Billing will continue under the guidelines described above just as if a new account had been created.

Changing Plan and Automatic Recurring Payment

You may change plans up (upgrade) or down (downgrade) to any other available plan at any time. All plan changes happen immediately and take effect immediately at the beginning of the next Period. Any increases or decreases in charges will be incremental based upon the difference in the newly selected plan and the previously selected plan.

Future Change and Access to Agreement

Conformance Portal reserves the right, in its sole discretion, to change the Automatic Recurring Billing Agreement outlined herein. The most current version of this Agreement will supersede all previous versions and are effective according to the date that the commit was issued. Conformance Portal encourages you to periodically review this agreement to stay informed of our updates.

Duration of Contract

The account being created may be terminated at any time by You or an approved agent acting on Your behalf by canceling according to the terms set out previously in this agreement. There is no penalty for cancellation nor is there any requirement to keep the account active for any length of time. This account may also be terminated without notice at the sole discretion of Conformance Portal if any of the terms set out in this agreement or in the Conformance Portal Terms of Use or Privacy Policy are violated or abused.

Privacy and Collection of Data

Data entered by Your Organization is solely owned by Your Organization and will not be shared with others by Conformance Portal.

Conformance Portal’s Collaboration module offers discussion forums and exchanges messages with other users within Your Organization and allows you to authorize viewing by others. It is the responsibility of Your Organization to ensure authorized access.

Conformance Portal may collect and aggregate data for marketing and performance evaluation. Anonymity of data will be maintained.

Portal Security

For an additional fee Conformance Portal will use its best efforts provide Portal Security pursuant to the needs of Your Organization. Such Portal Security needs must be communicated in writing to This email address is being protected from spambots. You need JavaScript enabled to view it. and acknowledged for pricing. There are no Portal Security guarantees.

"As Is" Disclaimer

Access to Conformance Portal is via the Internet on an “as is” basis with all risks inherent in such access. Conformance Portal makes no warranty that any information, software, or other material accessible is free of viruses, worms, trojan horses or other harmful components. By connecting, Your Organization acknowledges and accepts the risks associated with Your Organization’s access to the Internet and any public use of an unsecured wireless network.

"As Available" Disclaimer

Conformance Portal is provided on an “as available” basis without warranties of any kind, either express or implied, that the Service will be uninterrupted or error-free, including but not limited to vagaries of weather, disruption of service, acts of God, warranties of title, infringement, NOR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. No advice or information given by the providers, affiliates, or contractors of the service or their respective employees shall create such a warranty.

Indemnity Disclaimer

Under no circumstances shall Conformance Portal, or affiliates, agents, or contractors thereof, be liable for any direct, indirect, incidental, special, punitive or consequential damages that result in any way from Your Organization’s use of or inability to use Conformance Portal or to access the Internet or any part thereof, or Your Organization’s reliance on or use of information, services or merchandise provided on or through Conformance Portal, or that result from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation, or transmission, or any failure of performance. Your Organization agrees to indemnify and hold harmless Conformance Portal, including affiliates, agents, and contractors thereof, from any claim, liability, loss, damage, cost, or expense (including without limitation reasonable attorney’s fees) arising out of or related to your use of Conformance Portal, any materials downloaded or uploaded through it, any actions taken by you in connection with your use of it, any violation of any third party’s rights or an violation of law or regulation, or any breach of this agreement.

Force Majeure

Neither party shall be held liable or responsible to the other party nor be deemed to have defaulted under or breached this Agreement for failure or delay in fulfilling or performing any term of this Agreement to the extent, and for so long as, such failure or delay is caused by or results from causes beyond the reasonable control of the affected party including but not limited to fire, floods, embargoes, war, acts of war (whether war be declared or not), acts of terrorism, insurrections, riots, civil commotions, strikes, lockouts or other labor disturbances, acts of God or acts, omissions or delays in acting by any governmental authority or the other party.

Electronic Authorization

This Agreement is not transferable outside of Your Organization and must be agreed to by the person authorized on the Conformance Portal account (You), by checking "I accept these terms" when You create Your Organization's account. You also guarantee and warrant that You are the legal accountholder for this credit card, and that You are legally authorized to enter into this recurring billing agreement with Conformance Portal. You agree to indemnify, defend and hold Conformance Portal harmless, against any liability pursuant to this authorization. You also agree that You will not dispute any charges from Conformance Portal unless You have already attempted to rectify the situation directly with Conformance Portal and those attempts have failed. Lastly, You agree to all details of the plan You have selected and agree to be bound by those parameters.
